The fresh food group Ter Beke examines the potential acquisition of the French group Agis' chilled pasta meal division and has signed a letter of intent with Agis for this purpose.

Agis is a leading food group that has obtained an important position in the fast growing French ready meal market thru three dynamic product groups: chilled national meals, exotic meals and chilled pasta meals.
Ter Beke examines the potential acquisition of this latter division that realized in 2002 a turnover of approximately 11 million € with production facilities located in Alby-sur-Cheran (Haute-Savoie). This activity will perfectly fit within Ter Beke's international ready meal strategy.
Both parties have the intention to finalize the due diligence process and to arrive at a final closing by early July 2003 at the latest.

Ter Beke is an important Belgian fresh food producer specialized in chilled ready pasta meals and processed meats. Ter Beke is European market leader in chilled lasagne and realized in 2002 a turnover of 185,6 million €, a net result of 3,5 million € and a net cash flow of 16,3 million € with more than 900 people employed.
