Annual Shareholders' meeting Ter Beke appoints new directors
Waarschoot, 29 May 2008 - The annual shareholders' meeting of Ter Beke NV appointed Dominique Coopman, Jules Noten and Thierry Balot as new directors. Luc De Bruyckere, Luc Vansteenkiste and Willy Delvaux were reappointed for a term of three years.
The annual shareholders' meeting of Ter Beke today appointed, as proposed by the Board of Directors, three new directors:
- Dominique Coopman, daughter of the founders of Ter Beke, Daniël Coopman and Edith De Baets, is 40 years old and mother of 3 children. She works as Export Manager for a medium sized Italian company based in Milan. On top of her agricultural engineering degree and an environmental sanitation engineering degree (University of Ghent), she attended a business engineering programme at the Vlerick Leuven Gent Management School. She was already prepared by the Nomination Committee for over a year in order to replace Edith De Baedts on the Board of Directors.
- Jules Noten (representative of BVBA Lemon) is 48 years old and a father of 4 children. He holds a Master in Commercial Sciences of the VLEKHO and attended Management Programmes at Kellogs Business School and Harvard Business School. He has a vast international experience, built up within various companies of the Unilever-Group in the Netherlands, Ireland and Belgium, where he was chairman of Unilever Bestfoods Belgium until 2003, before becoming the CEO of Partners in Lighting, the lighting group holding Massive and Modular. He was invited to join the Board of Directors because of his experience in the food industry in general, and the retail in particular.
- Thierry Balot (representative of Sparaxis SA) is 52 and father of 2 children. He holds several degrees in accounting and tax. He occupied several functions within the Générale de Banque before becoming the First Advisor of the Walloon Investment Company S.R.I.W. SA. S.R.I.W. SA recently resigned from the board of Ter Beke. The appointment of Sparaxis SA fits within the replacement of S.R.I.W. SA. Sparaxis is a subsidiary of S.R.I.W. and will replace S.R.I.W. SA as independent director in the sense of article 524 BCC at least until the end of the current term.
Beside the appointment of three new directors, Luc De Bruyckere, Willy Delvaux (representative of Delvaux Transfer BVBA) and Luc Vansteenkiste (representative of Vean NV) have been reappointed as directors for a further three year term. Willy Delvaux stays independent director in the sense of article 524 BCC. Luc Vansteenkiste no longer qualifies as independent director under the Lippens Code of corporate governance, as he starts his fourth term.
The annual shareholders' meeting also approved, as proposed by the Board of Directors, the payment of a gross dividend of 2,10 EUR per share (net 1,575 EUR). The dividend is payable from 16 June 2008 onwards on presentation of coupon n° 20 at the counters of Fortis Bank, KBC, ING, Bank Degroof and Petercam.
